1. Acceptance of Terms

By accessing or using Kiridot ("Service"), operated by Kiridot ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service.

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements.

3. Description of Service

Kiridot is an AI-powered video creation platform that enables users to transform scripts and creative inputs into cinematic videos. Our Service includes, but is not limited to:

• AI video generation from text scripts and storyboards
• AI character creation and customization
• Video dubbing, voice-over, and translation tools
• Automated captioning and subtitle styling
• Video upscaling, motion swap, and character swap
• Storyboard planning and management

Features may be added, modified, or discontinued at our discretion. We will provide reasonable notice before removing any core feature you are actively using.

4. User Accounts

To access most features, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for an extended period, or are used fraudulently.

5. Subscriptions, Credits & Payments

5.1 Credit System

Kiridot operates on a credit-based system. Credits are consumed when you use generation features (e.g., creating storyboards, generating frames, producing videos). Credit costs vary by feature and are displayed before each action.

• New users receive a one-time allotment of free credits upon registration
• Purchased credits do not expire for as long as your account is active
• Credits are non-transferable between accounts

5.2 Subscription Plans

Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.

• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
• Downgrades or plan changes take effect at the next billing cycle.
• We reserve the right to change pricing with at least 30 days' prior notice. Price changes do not affect the current billing period.

5.3 Refunds

Refunds for subscription payments may be requested within 14 days of purchase if you have not consumed a material portion of the included credits. Credit pack purchases are non-refundable once credits have been used. To request a refund, contact [email protected].

6. Content Ownership & Licenses

6.1 Your Input Content

You retain all ownership rights to the scripts, prompts, images, and other creative inputs you provide ("Input Content"). By submitting Input Content, you grant us a limited, non-exclusive, worldwide license to process it solely for the purpose of delivering the Service to you.

6.2 Generated Content

Videos, images, audio, and other outputs created through the Service ("Generated Content") are owned by you. You may use Generated Content for personal and commercial purposes, subject to these Terms and applicable laws. You are solely responsible for how you use and distribute Generated Content.

6.3 Platform Content

All software, design, branding, UI elements, documentation, and other materials comprising the Kiridot platform ("Platform Content") are owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of Platform Content.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual license to use them without compensation or attribution.

7. Acceptable Use Policy

You agree not to use the Service to:

• Generate illegal, abusive, threatening, defamatory, or obscene content
• Create deepfakes or manipulated media of real individuals without their explicit consent
• Produce content that infringes on any third party's intellectual property, privacy, or publicity rights
• Generate content designed to spread misinformation or disinformation
• Circumvent, disable, or interfere with any content moderation, safety, or security features
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Resell, sublicense, or redistribute Generated Content as part of a competing AI generation service
• Attempt to reverse engineer, extract, or replicate our AI models or underlying technology

We may remove content and suspend or terminate accounts that violate this policy at our sole discretion, with or without notice.

8. AI-Generated Content Disclaimer

Content generated by our AI systems may contain inaccuracies, artifacts, or unintended outputs. You acknowledge that:

• AI-generated outputs are probabilistic and may not meet specific requirements or expectations
• You are responsible for reviewing all Generated Content before publishing or distributing it
• Generated Content may inadvertently resemble existing copyrighted works — you are responsible for clearing rights as needed
• We do not guarantee that Generated Content will be free from bias, errors, or offensive material

9. Copyright & DMCA

We respect intellectual property rights and respond to valid takedown notices under the Digital Millennium Copyright Act (DMCA) and similar laws. If you believe content on Kiridot infringes your copyright, please send a notice to [email protected] including:

• Identification of the copyrighted work
• Identification of the infringing material and its location on the Service
• Your contact information
• A statement that you have a good-faith belief that the use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized agent
• Your physical or electronic signature

We may terminate accounts of repeat infringers at our discretion.

10. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described therein.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIRIDOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kiridot and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service or Generated Content
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, publish, or distribute using the Service

14. Dispute Resolution

We encourage you to contact us first at [email protected] to resolve any disputes informally. If a dispute cannot be resolved within 30 days, either party may pursue binding arbitration administered under the rules of the applicable arbitration body in the jurisdiction where Kiridot is incorporated.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or representative proceeding.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Kiridot is incorporated, without regard to conflict of law principles.

16. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• Unused credits are forfeited unless applicable law requires otherwise
• We may retain your data as described in our Privacy Policy and as required by law
• Sections that by their nature should survive termination (including ownership, disclaimers, liability, indemnification, and dispute resolution) will remain in effect

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kiridot regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
